Subject to the terms and conditions herein, Williams-Sonoma hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, and royalty-free right and license to access, download, reproduce, display, and distribute Image Library Materials solely for the purpose of advertising and promoting Williams-Sonoma merchandise through print and electronic media.

Restrictions: You may not use any Image Library Materials after the expiration date. Unless otherwise specified, the expiration date for Image Library Materials is the end of the season to which they pertain. The expiration is revealed by selecting a thumbnail and displaying detailed information. After the expiration date, you shall immediately cease all uses of such material and destroy, erase or permanently delete all print or digital copies, including without limitation any copies stored on a computer, server or web site.

You may not use Image Library Materials to promote a non-Williams-Sonoma product. Image Library Materials may not in be used in connection with any third party merchandise, goods, products or other materials. You may use a Limited Use Photo for an editorial review (but not an advertisement) that mentions third party manufacturers if such usage is accompanied by the proper photo credit and the review primarily focuses on Williams-Sonoma products.

You may not modify Image Library Materials. Image Library Materials may not be modified or changed, including without limitation altering font or point type, morphing or combining Image Library Materials with other images, and re-coloring. Product Images and Limited Rights Photos may be reduced or enlarged but must be maintained in their original cropping and orientation (vertical or horizontal) to the fullest extent possible.

You must submit samples of marketing and promotional materials to Williams-Sonoma. You may not display, reproduce or publish a Product Image or Limited Use Photo in any manner or medium, (i.e. cover of a magazine or brochure, etc.) without first submitting a sample to Williams-Sonoma and obtaining prior written consent. You agree to submit at least three (3) tear sheets of all completed pieces incorporating a Image Library Materials.

Ownership: You agree that Image Library Materials are protected by intellectual property laws and treaties, and Image Library Materials are owned by Williams-Sonoma or licensed to Williams-Sonoma. Nothing in this License Agreement in any way impairs or affects Williams-Sonoma rights in the Image Library Materials or conveys any rights to you, with the exception of the rights expressly provided herein. Any rights of use not specifically granted to you hereunder are expressly reserved by Williams-Sonoma.

Warranty: Williams-Sonoma provides the Image Library Materials "as is." Williams-Sonoma and its affiliates make no representations and warranties with respect to the Image Library Materials. To the maximum extent permitted by applicable law, Williams-Sonoma and its affiliates disclaim any and all warranties, express, statuary and implied, including without limitation (1) Warranties of merchantability, fitness for a particular purpose, title, no encumbrances, no liens and non- infringement, and (2) warranties arising through course of dealing of usage of trade.

Liability Limitation: Williams-Sonoma and its affiliates disclaim any and all liability for indirect, consequential, special, incidental, or punitive damages, arising out of, based on, or resulting from this license agreement of your use of the image library materials, even if any of Williams-Sonoma or any of its affiliates has been advised if the possibility of such damages. These limitations and exclusions apply without regard to whether the damages arise from (1) breach of contract, (2) breach of warranty, (3) Negligent, or (4) any other cause of action, to the extent such exclusion and limitations are not prohibited by applicable law.

Miscellaneous: This License Agreement embodies the entire understanding of the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements between you and Williams-Sonoma with respect to the Image Library Materials. You may not, without Williams-Sonoma prior written consent, assign, sub-license or otherwise transfer this License Agreement or any rights or obligations granted hereunder. Failure by Williams-Sonoma to enforce any provision of this Agreement does not constitute and should not be construed as a waiver of such provision or the right to enforce such provision. All provisions of this License Agreement shall be severable and no provisions hereof shall be affected by the invalidity of any other provisions hereof. If one or more of the provisions contained in this Agreement shall be held invalid, illegal or unenforceable pursuant to arbitration or by a Court of competent jurisdiction, then the invalidity or unenforceability shall not affect any other provision of this Agreement and the remaining terms of this Agreement shall continue in full force and effect.
